1 Purpose

These terms and conditions of sale (the “T&Cs”) govern the visibility subscription taken out on Avygeo.com (the “Site”) by a tourist accommodation professional (the “Subscriber”) for an establishment they represent.

They supplement the Site’s terms of use (the “Terms of Use”), accepted by the Subscriber when creating their account. On any point specific to the professional subscription, these T&Cs prevail over the Terms of Use.

Any subscription constitutes acceptance of the T&Cs in the version in force on the day of the order.

2 Identification and contact

The Site is operated by AVYGEO SAS. Its full legal information (corporate form, share capital, RCS registration, intra-EU VAT number, publication director) appears in the “Company information” section of the Terms of Use: it is kept up to date there, and is not duplicated here.

3 What the subscription includes

For the establishment designated at the time of the order, the subscription provides:

• the presence of the establishment in the guides to its city published on the Site, “What to do in…” and “Where to stay in…”;
• a dedicated page whose content the Subscriber controls: photographs, videos, description, rates, contact details;
• the translation of its description into the published languages of the Site, whose number may change;
• a link from its page to the booking website it specifies, with no commission charged by Avygeo on the resulting bookings;
• the distribution of its special offers on the pages of its destination;
• the ability to reply publicly to the reviews published on its page;
• access to the display and click statistics for its establishment, and a monthly report by email.

As with every listing on the Site, an establishment’s page only appears in the lists once it includes at least one photograph and a description.

The Site evolves: Avygeo may develop, replace or supplement these elements, without reducing the overall economy of the subscription in progress.

4 Subscription and entry into force

Subscribing requires a member account on the Site and the designation of the establishment concerned. The order is placed online and the payment processed by Stripe, payment service provider: Avygeo stores no banking data.

The subscription takes effect as soon as the payment is confirmed. It is attached to one establishment and may not be transferred to another without Avygeo’s agreement.

Content submitted by the Subscriber is published without prior approval. It is then reviewed by our teams, who may request corrections or remove it if it does not comply with the Terms of Use.

5 Price, taxes and invoicing

The applicable price is the one displayed on the subscription page at the time of the order. It is exclusive of tax: the applicable VAT is calculated at payment, according to the Subscriber’s country and, where relevant, their intra-EU VAT number.

The price of the first period may differ from that of subsequent periods; both are stated before payment, and restated in section 6.

An invoice is issued automatically after each payment. It is sent by email and remains available online from the Subscriber’s account area.

Should a renewal payment fail, Avygeo informs the Subscriber and may suspend the effects of the subscription until the payment has succeeded.

6 Term, renewal and cancellation

The subscription is taken out for twelve months. It then renews for successive twelve-month periods, at the rate in force on the day of renewal.

The Subscriber stops the renewal from their professional area, at any time and up to twenty-four hours before the renewal date. The cancellation takes effect at the end of the term: the period already paid for remains due and the subscription stays active until it expires.

Any change to the rate applicable at renewal is brought to the Subscriber’s attention at least thirty days before the expiry date, so that they may stop the renewal before it applies.

Avygeo may terminate the subscription in the event of a serious breach by the Subscriber of their undertakings (section 9) or of the Terms of Use, after a formal notice that has remained without effect for fifteen days. The current period is then not refunded.

7 Thirty-day guarantee

During the thirty days following their payment, the Subscriber may end their subscription and obtain a full refund from their professional area, in a few clicks and without having to give a reason. No written request and no action on our part is required.

This guarantee applies once per property: a new subscription taken out for the same property does not open a new thirty-day period.

The refund ends the subscription and the features it provides, under the conditions of section 13. This contractual guarantee benefits every Subscriber, whatever their status, and is in addition to any right of withdrawal they may enjoy under article L221-3 of the French Consumer Code.

8 City guides and postponement of the expiry date

City guides are editorial content: their publication is a matter for Avygeo’s editorial team and is not triggered by a subscription.

Where the establishment’s city does not yet have its two guides, “What to do in…” (for example What to do in Paris) and “Where to stay in…” (for example Where to stay in Paris), on the day of the subscription, the subscription’s expiry date is postponed by a period equal to the time between the subscription and their publication. The Subscriber thus has a full year of presence in those guides.

9 Subscriber’s undertakings

The Subscriber warrants:

• that they are authorised to represent the establishment they are subscribing;
• that the information published (name, address, classification, facilities, rates, availability) is accurate and kept up to date;
• that they hold the rights to the photographs, videos and texts they submit, and that they have obtained the authorisation of the people appearing in them;
• that the booking address they specify leads to their own website or to their booking engine.

The Subscriber shall not publish or have published reviews about their establishment or about a competitor. They may invite their guests to publish their review, including by offering them a benefit, provided that this benefit is conditional neither on the review being favourable nor on the rating given.

10 Submitted content

Submitted content remains the property of the Subscriber. By publishing it, they grant AVYGEO SAS the licence described in the “Licence on published content” section of the Terms of Use, which remains in force after the end of the subscription: the establishment’s page remains published on the Site and may continue to be used there.

Avygeo may translate the texts submitted in order to serve them in the Site’s other languages, and may remove or amend content that breaches the Terms of Use.

11 Traveller reviews

The reviews published on the Site come from its members. The Subscriber may neither delete nor amend them, nor make their publication subject to their approval.

They have a right of public reply beneath each review concerning their establishment and may report to any review they consider contrary to the Site’s rules (abusive language, fake reviews, conflict of interest). The moderation decision rests with Avygeo, under the conditions set out in the Terms of Use.

12 Ranking and recommendations

The subscription opens the establishment's PRESENCE in its city's guides: a listing filed by a professional is only published there once the subscription has been paid, and it is the subscription that grants the Subscriber the editing rights on which the photograph and the description required by those lists depend.

It does NOT, on the other hand, determine the establishment's RANK in those guides. That order follows from members' recommendations, ratings and reviews; it can neither be bought nor negotiated. The number of slots displayed per guide is moreover limited: beyond it, those same criteria decide between establishments.

13 End of the subscription

At the end of the subscription, for whatever reason:

• the establishment’s page remains published on the Site as a rule, under Avygeo’s editorial responsibility, which may nevertheless decide to remove it from its guides;
• its management returns to Avygeo: the Subscriber loses their editing rights, the distribution of their offers and access to their statistics;
• the page’s booking links stop leading to the establishment’s website and lead to Avygeo’s booking partners, which may give rise to remuneration;
• any mention presenting the establishment as subscribed or managed by its representatives is removed.

The Subscriber may subscribe again at any time, at the rate then in force.

14 Service availability and liability

Avygeo provides the Site with the care of a diligent professional and is bound by an obligation of means. Access may be interrupted for maintenance, updates or technical reasons.

Avygeo guarantees no volume of visits, clicks, enquiries or bookings: these results depend in particular on the city, the season, the content submitted and the establishment itself. The statistics made available are audience measurements, provided for information purposes.

Avygeo’s liability under the subscription is limited to the sums paid by the Subscriber during the twelve months preceding the triggering event. Neither party is liable for indirect damages. These limits apply neither in the event of gross negligence or wilful misconduct, nor in cases where the law sets them aside.

15 Personal data

Personal data processed in connection with the subscription is processed in accordance with the Site’s privacy policy. Payment data is processed by Stripe, as payment service provider.

16 Amendment of these terms

Avygeo may amend the T&Cs. The version applicable to a subscription is the one accepted at the time of the order, until it expires. A new version is brought to the Subscriber’s attention before renewal and applies to the following period; a Subscriber who does not accept it may stop the renewal under the conditions of section 6.

17 Governing law and disputes

These T&Cs are governed by French law. Before any action, the parties undertake to seek an amicable solution, under the conditions set out in the “Governing law” section of the Terms of Use. Failing agreement, the dispute falls to the competent courts.
